We are glad you are here and welcome you! It is our pleasure to provide to you our Great Service and Products as described below for your enjoyment in accordance with this Subscriber/Member/User Agreement (Herein, the “Agreement”). Please read this agreement carefully because it governs eligibility for and use of the services.
Terms of Use
1. Terms
By accessing this The NW®, Nicole Winhoffer®, NWMethod®, and NWChurch®, you are agreeing to be bound by these Terms of Use, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing these sites. The materials contained on this website (including all products (Memberships, Subscriptions, Coaching, and Training sessions), video, books, IP (intellectual property) consults, private training, and other trademarked and copyrighted material) are protected by applicable copyright and trademark law.
2. Use License
This License Agreement clearly defines the terms of use, outlining rights and limitations regarding the content. It is Access, not ownership. With a membership subscription, You are not buying Our Content outright, but rather buying the right to access and use it while you subscription is active, Balance settled, and Account is Healthy and Active.
Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the Licensed Content solely within the Territory for the duration of the License Term. You as Licensee are granted Access, not ownership. You are buying the right to access and Use NW®, Nicole Winhoffer®, NWMethod®, and NWChurch® content, materials, services NWChurch® Online Class, NW® Choreography Class, NW® Pro Membership, NW® Elite Annual, NW® Single 1:1 Private Service, NWMethod® 1:1 Digital Level Up 10 pack, NW® Single 1:1 Private Service 10 pack, and all our NW®, Nicole Winhoffer®, NWMethod®, and NWChurch® videos. You can use the License while the subscription, product, and/or service is paid for, the Balance is settled, and the Account is Healthy and Active.
When you purchase the membership, We grant you “The Customer” Access to a license to view Our content.
Payment must be made in full to access the platform, receive services, and the license to view Our content.
Failure to make the full payment can result in a transfer, partial access to content, downgrade to basic, frozen account and/or disabled access.
To gain access to your license to view Our content, you must pay the full balance.
We will not tolerate attacks or harassment of any kind made toward the Merchant or Any and All Members of our Teams.
Permission is granted to temporarily download one copy of any downloadable materials on the NW®, Nicole Winhoffer®, NWMethod®, and NWChurch® website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
modify or copy the materials;
use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
attempt to decompile or reverse engineer any software contained on the NW®, Nicole Winhoffer®, NWMethod®, and NWChurch®’s website;
remove any copyright or other proprietary notations from the materials; or
transfer the materials to another person or 'mirror' the materials on any other server.
This license shall automatically terminate if you violate any of these restrictions and may be terminated by Company at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.
We have the right, but not the obligation, to monitor all conduct and content submitted to or through the Platform, and may in its sole discretion: refuse to publish, remove or disable access to Contributed Content that it considers breaches these Terms of Use; or (ii) suspend or discontinue your opportunity to submit, post or upload content to the Platform.
3. Disclaimer
The materials on The NW®, Nicole Winhoffer®, NWMethod®, and NWChurch®’s website are provided 'as is'. The NW®, Nicole Winhoffer®, NWMethod®, and NWChurch® makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, The NW®, Nicole Winhoffer®, NWMethod®, and NWChurch® does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.
4. Limitations
In no event shall The NW®, Nicole Winhoffer®, NWMethod®, and NWChurch® be liable for any damages (including, without limitation, damages for loss of data or profit, injuries, poor health, or due to business interruption) arising out of the use or inability to use the materials on The NW®, Nicole Winhoffer®, NWMethod®, and NWChurch® website, even if the Nicole Winhoffer®, NWMethod®, and NWChurch® or an authorized member of Nicole Winhoffer®, NWMethod®, and NWChurch® has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

We and The School may make changes to the materials contained on its web sites at any time without notice. Nicole Winhoffer®, NWMethod®, and NWChurch® does not, however, make any commitment to update the materials.

7. Site Terms of Use Modifications
The Nicole Winhoffer®, NWMethod®, and NWChurch® may revise these Terms of Use for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these Terms of Use.
8. Governing Law
Any claim relating to the The NW®, Nicole Winhoffer®, NWMethod®, and NWChurch®’s website shall be governed by the laws of the The NW®, Nicole Winhoffer®, NWMethod®, and NWChurch® Owner’s home jurisdiction without regard to its conflict of law provisions.
9. USE OF PLATFORM
By using the Platform, you confirm that you will not use the Platform for any of the following:
Unlawful Activity – any activity that: (i) involves proceeds from any illegal or unlawful activity; (ii) publishes, distributes or disseminates any illegal or unlawful material or information; or (iii) otherwise violates, or could possibly violate, any civil and common laws, statutes, subordinate legislation, treaties, regulations, directives, decisions, by-laws, ordinances, circulars, codes, orders, notices, demands, decrees, injunctions, resolutions and judgments of any government, quasi-government, statutory, administrative or regulatory body, court, agency or association by which The NW Studio, Inc, The NW®, The NW Method®, The NW Church®, of Nicole Winhoffer®, or the User are bound in any jurisdiction applicable to the access and use of the Platform ("Applicable Laws").
Unauthorized Use – any activity that: (i) interferes with, disrupts, negatively affects or inhibits other Users from accessing or fully enjoying the Platform; (ii) introduces to the Platform any malware, virus, trojan horse, worms, logic bombs or any other program that would otherwise result in any technical glitch, malfunction, failure, delay, default or security breach; (iii) attempts to gain unauthorized access, whether through password mining or otherwise, to other User Accounts, computing systems or networks connected to the Trading Platform; (iv) undermines the security or integrity of the computing systems or networks on which the Platform is hosted; (v) attempts to modify, copy, reproduce, reverse engineer or decompile the Platform or the computer programs used to deliver the Platform; (vi) uses the User Account information of another person to access or use the Platform; or (vii) transfers access or rights to your User Account to a third party.
Abusive Acts – any act that: (i) defames, abuses, extorts, harasses, stalks, threatens or otherwise violates or infringes the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of any other person; (ii) incites, threatens, facilitates, promotes, or encourages hate, racial intolerance or violent acts towards any other person; or (iii) harvests or otherwise collects information from the Platform about other Users including addresses, phone numbers, email addresses and credit card details.
Fraud – any act that: (i) attempts to defraud Nicole Winhoffer®, NW Method®, NW Church®, or any other person; or (ii) provides false, inaccurate or misleading information to NW®.
10. Contributed content
You are solely responsible for all content or materials that you submit, film, or otherwise upload to or through the Platform or to us (including any information contributed by you in respect of any blog, coaching, consultation, forum or chat room, and any comments, feedback or ideas that you send to NW Studio, Inc) ("Contributed Content"). All privates are filmed for the purpose of reviewing human performance movement, choreography, progress, designing your programs, documenting success, adjustments made to your program, and documentation of your personalized exercise program.expressly agree not to submit or upload any Contributed Content which:
(i) advertises or promotes any services or brands (with respect to you or any third party);
(ii) contains material that is defamatory, discriminatory, obscene, indecent, abusive, racist, offensive, harassing, violent, hateful, inflammatory or is otherwise objectionable or illegal;
(iii) you know not to be true and honest, or which spreads false or misleading statements;
(iv) you do not have the right to submit or upload, including where the content may infringe any Intellectual Property Rights of any party;
(v) impersonates any person or entity or otherwise associates, infers or misrepresents the User’s affiliation with a person or entity;
(vi) contains the personal details or confidential information of any third party unless that third party has expressly consented to such use and disclosure;
(vii) contains, or links to, viruses, corrupted data or other harmful, disruptive or destructive files;
(viii) constitutes unsolicited promotions, campaigning, advertising or solicitations, or other types of content which constitute "spam";
(ix) may expose NW Studio, Inc or other Users to any harm or liability of any kind; or
(x) is contrary to any Applicable Laws.
(b) NW Studio, Inc has the right, but not the obligation, to monitor all conduct and content submitted to or through the Platform, and may in its sole discretion: (i) refuse to publish, remove or disable access to Contributed Content that it considers breaches these Terms of Use; or (ii) suspend or discontinue your opportunity to submit, post or upload content to the Platform
(c) You acknowledge and agree that some of your Contributed Content might continue to be publicly available on the Platform after your User Account is closed or otherwise terminated, subject to your right to have your Contributed Content removed upon request in accordance with Applicable Laws.
(d) If you believe that any Contributed Content violates these Terms of Use or any Applicable Laws, including any copyright laws, you should report it to The NW Studio, Inc Team via nicoleatnicolewinhofferdotcom
11. Privacy Policy
This Privacy Policy governs the manner in which Nicole Winhoffer®, NWMethod®, and NWChurch® collects, uses, maintains and discloses information collected from users (each, a “Student”) of The NW®, Nicole Winhoffer®, NWMethod®, and NWChurch®. This Privacy Policy applies to The NW®, Nicole Winhoffer®, NWMethod®, and NWChurch® and all courses, services, and products offered by Nicole Winhoffer®, NWMethod®, and NWChurch®.
Personal identification information
We may collect personal identification information from Students in a variety of ways, including, but not limited to, when Students enroll in The NW®, Nicole Winhoffer®, NWMethod®, and NWChurch® website or a Course within The NW®, Nicole Winhoffer®, NWMethod®, and NWChurch®, subscribe to a newsletter, and in connection with other activities, services, features, products, or resources we make available in our Nicole Winhoffer®, NWMethod®, and The NWChurch® School. Students may visit the NW®, Nicole Winhoffer®, NWMethod®, and NWChurch® anonymously. We will collect personal identification information from Students only if they voluntarily submit such information to us. Students can refuse to supply personal identification information but doing so may prevent them from engaging in certain NW®, Nicole Winhoffer®, NWMethod®, and NWChurch® related activities.
How we use collected information
The NW®, Nicole Winhoffer®, NW Method®, and NW Church® may collect and use Students’ personal identification information for the following purposes:
To improve customer service
Information you provide helps us respond to your customer service requests and support needs and services more efficiently.To personalize user experience
We may use information in the aggregate to understand how our Students as a group use the services and resources provided in our School.To send periodic emails
We may use Student email addresses to send Students information and updates pertaining to their order. Student email addresses may also be used to respond to Student inquiries, questions, or other requests.
Sharing your personal information
We do not sell, trade, or rent Student personal identification information to others.
Third party websites
Student may find advertising or other content in our Nicole Winhoffer®, NWMethod®, and NWChurch® that link to the websites and services of our partners, suppliers, advertisers, sponsors, licensors and other third parties. We do not control the content or links that appear on these websites and are not responsible for the practices employed by websites linked to or from our Nicole Winhoffer®, NWMethod®, and NWChurch® domains and products. In addition, these websites or services, including their content and links, may be constantly changing. These websites and services may have their own privacy policies and customer service policies. Browsing and interaction on any other website, including websites which have a link to our Student, is subject to that website's own terms and policies.
Changes to this Privacy Policy
The Nicole Winhoffer®, NWMethod®, and NWChurch® Corporations have the discretion to update this Privacy Policy at any time. We encourage Students to frequently check this page for any changes. You acknowledge and agree that it is your responsibility to review this Privacy Policy periodically and become aware of modifications.
12. Cancellation/no Refund Policy
All sales are final and non-refundable. We do not offer refunds or credits for any purchases, unused subscription periods, accidental purchases, medical conditions, or any similar reason or event, unless required by law to do so. By investing in yourself and purchasing NW® products, commitments are made by both parties to provide the tools and service needed to deliver the results of your transformation. It is understood that NW Studio, Inc can terminate clients at any time.
NW® and NWMethod® Private Training Cancellation: If you booked the service with an NW Method® Trainer and/or booked online, this counts as a booked session. Canceled sessions count as a used session and you will not receive a credit back for a used session. The Coach must be paid once the Coach is booked. No Show: If you do not cancel your appointment in advance, and do not show up at the time of the scheduled service, you will be charged the full cost of that service, and are not entitled to any credits back.
NWMethod® and NWChurch® Group Class: If the class or service is canceled within 48 hours of scheduled time, you will receive a "credit back" to your customer account. Less than 48 hour cancellation, will result in a used class. Classes hold limited slots and many classes and events sell out.
Cancellation Policy Subscription, Memberships, Classes: For all services, memberships, classes and products offered by Nicole Winhoffer®, NWMethod®, NW®, and NWChurch®. If the service is cancelled after your card has been billed for the month or year, there will be no refund. Your subscription will continue to be active until the end of your current billing cycle. Your subscription will not renew following the end of your current billing cycle. To cancel your Monthly Subscription, it must be done at least 48 hours before the renewed billing date. If it is done after the renewal date, you will be charged the full amount until the end of the billing cycle. To cancel your Annual Subscription, it must be done at least 30 days before the renewed billing date. If you cancel after the renewal date, you will be charged the full amount until the end of the billing cycle and are not entitled to a refund or any credits back. In dispute, you agree to have your card on file charged the full amount disputed by the bank and a $100 dispute fee to cover the fees of administration, unreturned software fees, late fees, and credit card fees.
Private 1:1 Training: The NW® Program is a holistic exercise program that uses consistency and repetition to build muscle memory. This requires scheduling your privates on the same day/time each week. By committing you are reserving a block of time for the teacher and yourself. If your reserved day and time need to change, it requires at least a two week notice and a commitment of two months to reserve a spot. We appreciate your care and respect of booking our services with our beautiful talented human beings.
NW® Single 1:1 Private Service has expiration date of 14 days from date of purchase. Unused sessions past purchase date, expire. NWMethod® 1:1 Digital Level Up 10 pack expires 45 days from date of purchase. Unused sessions past purchase date, expire. NW® Single 1:1 Private Service 10 pack expires 45 days from date of purchase. Unused sessions past purchase date, expire. No refunds. We appreciate your understanding and respect of private clients on the waitlist and know the rate and fees include costs for time, software, administration, and market demand. We do not schedule your sessions for you.
Termination: We maintain the right to terminate clients at any time.
13. Community Guidelines and user Expectations
Requirements: (1) Treat humans, teachers, and service providers with kindness and respect. (2) Incessant emailing, texting, and calling is aggressive unkind behavior. (3) We expect healthy dialogue and appropriate language free of violence and hate. We do not tolerate derogatory, negative, discriminatory hate speech of any kind. (4) We choose who to offer our energy and service. (5) We do not provide our service to entitled, derogatory, aggressive, poor, disrespectful, clients that lack human dignity. (6) We do not book your appointments for you.
Our Community Guidelines promote positive, respect, and treatment of all humans.
1: Guests: If you want guests to attend your private session, we charge a $50 per person "Guest Fee". This will be charged to your account prior to your session and you must alert us that there will be guests at your session. If you do not tell us ahead of time so we can prepare our Teachers and Coaches, the “Guest Fee” will be $100 per person.
2: Travel Time: If you request us to show up at a physical location of your preference, we charge $300/hr for travel time and/or a flat fee of $1,000 for travel up to 2 hrs. Beyond 2 hours, we charge a $3,500/day Travel Fee.
3: Off Hours/Holiday: To satisfy your request for a time not available on our public website and/or service on Holiday, you can request this and submit to our rate of $300 per request.
4: Over/Time and Overage fee: If your session goes over the time amount paid for, you will be charged an Over/Time fee of $1,500/hr. This will be charged to the card on file.
5: Be prepared: This means showing up early, professionally dressed, awake, phone away- ready to work hard.
6: Phone/Watch: The use of electronic devices during sessions are not allowed. This time is to focus on centering and raising your vibration. Please put your phone and devices away at the start of the session.
7: Call out: If you are sick, please notify the Company at least 48 hours ahead of time. Your session will be paid for her scheduled time. We do not want to put our trainers in a situation where their health is at risk and we appreciate your understanding and acceptance of this Studio Policy to honor their commitment and time. You can notify the company by cancelling your session in the app and sending an email to nicole@nicolewinhoffer.com.
8: Relationship Treatment: We are providing great service for you and expect our teachers to be treated with respect and care. We will not tolerate greed, entitlement, or abuses (see Section 9 Terms and Conditions). We serve customers who practice care, respect, and kindness. Thank you for respecting our policies that enable us to provide you greatness.
9: Unacceptable Customer Behavior:
Non-payment: If a client consistently fails to pay invoices on time.
Abusive/Disruptive behavior: When a client is disrespectful or verbally abusive towards your staff.
Poor Fit: Not aligning with our culture and processes.
Excessive demands: If a client constantly asks for unreasonable changes or work outside the scope of your agreement.
Ethical concerns: When a client's business practices conflict with your company values
We would provide appropriate notice, professionally, by clearly explaining the reasons to end a client relationship.
10: Communication: Texting/Emailing/Calling: We can respond within the business hours of Monday-Friday 9a-5p re inquiries. We will not respond to requests outside these hours or any communication containing abuses of any-kind (see Section 9 in Terms and Conditions). Sending a high volume of messages can disrupt the enjoyment of our customers and customer service representatives. Thank you for respecting our mental health and well-being boundaries. 11: Drug/Alcohol Use: We are committed to providing high quality consciousness and will not tolerate clients who are under the use of substances while we are in your presence. We appreciate your understanding and attention to this matter dedicated to your results.

We do not book/cancel client appointments or schedule clients. We are unable to book and/or cancel your sessions from our end. 14. PAYMENT TERMS:
Payments must be made in full to access the platform, receive services, and the license to view our content. Failure to make the full payment can result in a transfer, partial access to content, downgrade to basic, frozen account and/or disabled access. To gain access to your license to view our content, you must pay the full balance.
Maintain A Healthy and Active Account: To keep an Active Account, you must have a card on file, a signed updated Terms of Service and Waiver Agreement, and a settled balance paid. If any of these requirements are not met, your account will be disabled and/or frozen. We provide a 3 day Grace Period to give you time to settle the balance with money owed and to sign an updated member agreement to receive your license to view content and receive services. If you do not pay or have a signed agreement after 3 days, we will terminate and/or disable your account. To restore your account, you agree to be charged a $100 restoration fee for account activation, maintenance, administrative, and software fees. If you complained to your bank, you are responsible to pay the full cost of the Charge-Back including all fees. We thank you for respect our work, team members, and partners delivering great service and quality support.
Membership Status: Based on your membership status and Health of your Account, you will receive access via a certain license to view your videos and credits to book class and appointment.
Requests and Changes to Services: Any changes to the Services, including the schedule, requests, location, program, brand, company policies are subject to fees. These fees are clearly listed as “Add-ons” under the “Appointments” page. Any change to schedule or moving of booking time or appointment is subject to Nicole’s Over/Time fee. If you request to move the time, the booked time counts as a booked session and you will receive No credits or Refund back. The fees are subject to increase based on market and on-going service demand.
The Real Value of The NW® Service: With two decades of real world professional work in the field of entertainment, dance, and health provide you with the time and effort it takes to deliver great results. With 10 years of dedicated research to music psychology and therapy research in IFS, AEDP, and EMDR we provide our high-profile clients’ with great mind-body results. With expert research in kinesiology, anatomy, and physiology research, Nicole prepares to support her clients during the Super Bowl, Live Performances, NBA and NFL many music videos, and our world’s best athletes and artists to maintain top condition and artistry during high energy out-put physical performances. Her background in 3 rigorous Broadway shows provides knowledge on how to cross train the body and protect it from overuse. Our results include mental, emotional, and spiritual well-being to live beautiful.
Our famous NW® 15 year process: We designed our private 1:1 services requiring mindful preparation, planning, and execution. Our real world expertise and knowledge is updated annually in courses in anatomy, physiology, and eastern medicine to enhance and modernize our service. We allocate around seven hours ahead of your first Session and around four hours for every session thereafter. We believe the positive energy that goes into each project is reflected in the results and each body deserves a carefully curated designed program to positively shape the body and mind.
How To Settle Remaining Balance: If you want to settle your balance, we can charge the card on file from our POS and/or send to you a payment link to pay your balance.
No Charge-Back Clause: By purchasing from NW Studio, Inc, and the Nicole Winhoffer®, NW®, NW Church®, NWMethod® products, you explicitly agree not to initiate any chargebacks against the company for any reason related to the purchased product or service. If you file a chargeback against the Merchant, your customer account may be terminated. To restore your account and acquire access to the platform, you agree to pay the fee of the entire disputed amount (includes the total amount of funds claimed by your bank) and an additional $100 fee to cover the fees of administration, unreturned software fees, late fees, and credit card fees.
We will not tolerate attacks or harassment of any kind made toward the Merchant or any members of our team. Charge-backs made with irrational motivations, impatience, confusion, or frustration will result in immediate termination of your account and no access to our Platform and/or any and all services, memberships, products, programs, and access to Nicole Winhoffer®, NW®, NW Church®, NWMethod®. We expect a collaborative talk with the Merchant to reach a resolution and should be approached with patience, care, and kindness.
Price Changes and/or Increase Policy for service providers and subscriptions: We follow a regular review process schedule to analyze results of our product and potentially adjust price based on value, demand, market dynamics, and internal costs such as increased labor costs, material expenses, software fees, administrative fees, regulatory compliance, and demand. We offer tiered pricing structure for various packages and client types. We notify customers at least 1 week to 30 day notice for our price increase.
Unsettled Balance Procedure: If you, "customer" do not agree to price and/or have an Unsettled Balance, your customer account can result in transfer, partial access to content, downgrade to basic, frozen account, and/or disabled access until the balance is paid in full. By signing our contract, you agree to this term. To Restore and/or Re-gain access to your license to view our content, you must pay the full balance Restoration Fee; the fee of the entire disputed amount (includes the total amount of funds claimed by your bank) and an additional $100 restoration fee to cover the fees of administration, unreturned software fees, late fees, and credit card fees. We will not tolerate attacks or harassment of any kind made toward the Merchant or any members of our team.
If the Customer fails to make payment of any sum due to be paid to the Supplier under this Agreement by the due date for payment, then without prejudice to any other rights and remedies available to the Supplier: (a) the Supplier may, without liability to the Customer, disable the Customer’s access to and/ or use of the Service (or any part of it) and the Supplier shall be under no obligation to provide any or all of the Service while the outstanding amounts concerned remain unpaid.
We may change our subscription plans and the price of our service from time to time; however, any price changes or changes to your subscription plans will apply no earlier than 30 days following notice to you.
If a customer fails to pay any outstanding balance due on their subscription within 3 days, We NW Studio, Inc and Our Partners reserve the right to downgrade, suspend, or terminate access to the service until the balance is fully settled, including any associated fees or late charges, as per the terms outlined in this agreement.
Your acceptance of these terms
